T & C in brief

This synopsis is intended to give you an overview of the Terms and Conditions of Trade. It is intended as a guide only and is not intended to be nor is it a legally binding document. All legal obligations are as recorded in the Terms and Conditions of Trade. Capitalised terms are defined in the Terms and Conditions of Trade available directly below this summary.

The Company is an intermediary between a Printer and its Customers. The Printer will upload Templates to the Company’s Website that the Customer can use to submit Orders. Upon submission of an Order the Printer shall pay the Company a fee as advised to the Printer at the time the Printer first accepts the Terms and Conditions of Trade.

The Company may vary the fees by one month’s written notice.

The Company may remove any Templates at any time in its sole discretion.

The Printer acknowledges that it is contracting directly with the Printer’s Customers to provide services for the Printer’s Customers and the Printer will be solely responsible for collection of any payments due by its Customers.

The Printer will not attempt to interfere with the operation of the Website in any way.

The Company’s fees are payable within 30 days of the date of any invoice. In the event that payment is not made when due, penalty interest will be payable at the rate of 2.5% per month and the Company will be entitled to recover its collection costs in relation to obtaining payment. Where any amounts remain outstanding the Company may introduce a service delay or contact the Printer’s Customers direct and advise why their Order will not be processed.

All payments will become immediately due and the Company may suspend or terminate the Terms and Conditions of Trade in the event that the Printer commits any act of default.

The Company will not be liable for any failure, delay or interruption of the Website due to any event beyond the control of the Company.

The Company retains all intellectual property rights relating to the Website.

Any information uploaded to the Website by the Printer is owned by the Printer. In addition, the Printer warrants that it holds all necessary rights in relation to information uploaded to the Website, including but not limited to fonts, images, text, graphics and logos.

The Printer’s use of the Website is at their sole risk and the Company does not warrant that the Website will be uninterrupted, timely, secure or error-free.

The Printer is solely responsible for ensuring that they are protected from any viruses, worms, Trojan horses or other software of a destructive or malicious nature.

Where the Printer is a limited liability company the Printer’s directors personally guarantee the Printer’s obligations under the Terms and Conditions of Trade.

Any disputes will be referred to mediation to be held in Wellington, New Zealand for resolution in the first instance.
